Terms of Use

These terms govern your use of Cadence for macOS (“the app”), published by Magenta Creations. Cadence is distributed through the Mac App Store, so Apple'sStandard End User Licence Agreement also applies. Where the two conflict, Apple's terms take precedence.

1. Licence

You are granted a personal, non-exclusive, non-transferable licence to install and use the app on Apple-branded devices you own or control, in line with the App Store Terms of Service. Cadence Pro is a one-time in-app purchase that unlocks additional features on the Apple ID that bought it; it is family shareable.

2. Restrictions

You may not sell, rent, sublicense or redistribute the app; reverse engineer, decompile or disassemble it except to the extent that law expressly permits; or remove any proprietary notices it contains.

3. Ownership

The app is licensed, not sold. Magenta Creations retains all right, title and interest in it. Your recordings, your transcripts and everything you export from them remain entirely yours — we claim no rights over them, and we never receive them.

4. Third-party components

Cadence ships and downloads speech models published by others, each under its own licence. Their terms sit alongside these and are not superseded by them:

• Parakeet TDT 0.6B — NVIDIA, licensed under CC-BY-4.0
• Whisper large-v3-turbo — OpenAI, Core ML conversion by Argmax, licensed under MIT
• pyannote Community-1 — packaged by FluidInference, licensed under MIT

The Parakeet models are distributed under CC-BY-4.0, which requires attribution; that credit is given here, in the app's model manager, and on the homepage. Apple Speech is a macOS system facility and is covered by your macOS licence rather than by these terms.

5. Updates

Updates are delivered through the App Store and are covered by this licence. Features may be added, changed or removed between releases. Anything described as planned is a statement of intent, not a commitment.

6. Accuracy and fitness

Automatic transcription makes mistakes, and speaker attribution makes mistakes. Accuracy varies with the recording, the engine, the language, the number of speakers and how much they overlap. Do not rely on a Cadence transcript as a verbatim record where an error would matter — for legal, medical, journalistic or compliance purposes, check it against the audio.

7. Disclaimer of warranty

The app is provided “as is”, without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

8. Limitation of liability

To the extent permitted by law, Magenta Creations is not liable for indirect, incidental or consequential damages, or for lost data or lost profits, arising from your use of the app. Total liability is limited to the amount you paid for it. Nothing here limits liability that cannot be limited by law.

9. Termination

This licence ends if you breach these terms. On termination you must stop using the app and delete it. Sections 3, 6, 7 and 8 survive.

10. Governing law

These terms are governed by French law, and the courts of Paris, France have exclusive jurisdiction, without prejudice to any mandatory consumer protections in your country of residence.

11. Changes

These terms may change with a new release. The current version is always the one published on this page, with its effective date.
